This Affiliate Agreement ("Agreement") is a binding contract between you ("Affiliate," "you") and Southwest CP Investment LLC ("Company," "we," "us"), operator of Tongues AI. By enrolling in the affiliate program, checking the acceptance box, and/or using a referral link, you agree to all of the terms below. If you do not agree, do not enroll or promote.
You are an independent contractor, not an employee, partner, agent, joint venturer, or legal representative of the Company. You have no authority to make or accept any offers or representations on our behalf. You may not sign or enter any agreement on the Company's behalf. Nothing in this Agreement creates any relationship other than that of independent contracting parties.
Upon enrollment we issue you a unique referral link/code. You may share it on your own websites and social media (Instagram, TikTok, Facebook, LinkedIn, YouTube, etc.). A "Qualifying Sale" is a completed, paid, non-refunded purchase of a Tongues AI paid plan by a new customer who reaches checkout through your referral link and completes payment. Attribution is based on the referral information captured at checkout; we are the final authority on whether a sale qualifies.
You must clearly and conspicuously disclose your material connection to the Company in every promotion, as required by the U.S. FTC and applicable law (for example, "#ad," "paid partnership," or "affiliate"). You must comply with all rules of every platform you use. You are solely responsible for your posts and disclosures.
You must NOT:
Violation may result in immediate termination and forfeiture of unpaid commissions.
The Company makes no representation or guarantee that you will earn any particular amount, or anything at all. Your earnings depend entirely on your own efforts and results.
You are solely responsible for all taxes on your commissions. You agree to provide any tax documentation we reasonably request (e.g., a W-9), and we may issue a Form 1099 or withhold as required by law. You are not eligible for any employee benefits.
Either party may terminate this Agreement and your participation at any time, for any reason, with or without notice. Upon termination you must stop using your referral links and all Company materials. Sections regarding disclaimers, limitation of liability, indemnification, and governing law survive termination.
The affiliate program and all materials are provided "as is" without warranties of any kind. We do not warrant uninterrupted or error-free tracking, and we are not liable for any failure of tracking, attribution, or third-party platforms.
To the maximum extent permitted by law, the Company's total liability to you under this Agreement shall not exceed the total commissions paid to you in the three (3) months preceding the claim. In no event is the Company liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.
You agree to indemnify, defend, and hold harmless Southwest CP Investment LLC and its owners, officers, employees, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your promotional activities, posts, claims, or disclosures; (b) your breach of this Agreement; (c) your violation of any law, regulation, platform rule, or third-party right; or (d) your negligence or misconduct.
You will keep confidential any non-public information the Company shares with you and will not use it except to perform under this Agreement.
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules. This Agreement, together with the Tongues AI Terms of Service and Privacy Policy, is the entire agreement between the parties regarding the affiliate program and supersedes all prior discussions. If any provision is held unenforceable, the remainder stays in effect.
